THE PROSPER LAB LLC Terms of Service Effective Date: August 15, 2026

These Terms of Service (“Terms”) govern your access to and use of www.labofprosperity.com (the “Site”) and the consulting services offered by The Prosper Lab LLC (“Prosper Lab,” “we,” “us,” or “our”), an Ohio limited liability company. By accessing the Site, purchasing services, or otherwise engaging with Prosper Lab, you (“you” or “client”) agree to be bound by these Terms. If you do not agree, do not use the Site or our services.

1. Description of Services: Prosper Lab provides financial consulting and education services, including a Funding Readiness Gap Analysis, credit review, the Prosper Blueprint (a single consulting deliverable consisting of a personalized plan and one consultation session), and, where purchased, the Prosper Executive Lab (a 90-day guided implementation program) or the Prosper Elite Lab (a 180-day guided implementation program). Prosper Lab provides education and consulting — it does not provide credit repair services, legal services, or guaranteed financial outcomes.

2. Eligibility: You must be at least 18 years old to purchase or use Prosper Lab's services. By purchasing services, you represent that you meet this requirement and that all information you provide is accurate and complete.

3. Accounts: Client scheduling, communications, and service delivery are currently managed through our client relationship platform (GoHighLevel). You are responsible for providing accurate contact information and for any activity that occurs through communications sent to or from the contact information you provide.

4. Payment Terms:

• The Prosper Blueprint is offered at a one-time flat fee, due in full at the time of purchase.

• The Prosper Executive Lab and Prosper Elite Lab are paid upfront; installment payment options are available through our payment processor via third-party pay-later providers (including but not limited to Klarna, Zip, and similar services), subject to those providers' own terms and approval.

• Pricing may vary based on client structure, including individual clients versus legally married couples.

• No deposit is required to begin services.

• Late payment fees are not applied by Prosper Lab; however, failure to maintain payment obligations, including through a third-party pay-later provider, may result in suspension or termination of services at Prosper Lab's discretion.

• All payments are processed securely through Stripe. Prosper Lab does not directly store full payment card information.

5. Cancellations and Refunds:

a. The Prosper Blueprint: The Prosper Blueprint is non-refundable once purchased, given its nature as a single, immediately-delivered consulting product.

b. The Prosper Executive Lab and Prosper Elite Lab: Although Prosper Lab does not provide credit repair services, we voluntarily extend the same three (3) day cancellation window recognized under Ohio credit services law as a matter of client protection and compliance practice. Clients may cancel an Executive Lab or Elite Lab engagement within three (3) calendar days of purchase for a full refund. After this three-day window has passed, all sales are final and no refunds will be issued, without exception.

c. Consultation: Scheduling Clients may reschedule or cancel individual Zoom consultation sessions. Rescheduling or cancelling a session is solely the responsibility and choice of the client, and Prosper Lab is not responsible for any impact — positive or negative — that a rescheduled or missed session may have on the client's overall results or timeline within the Lab program.

d. Chargebacks: Clients agree to contact Prosper Lab directly to resolve any billing concern before initiating a chargeback or payment dispute with their bank or payment provider. Initiating a chargeback without first contacting Prosper Lab may be treated as a violation of these Terms.

6. Disclaimers: Prosper Lab does not guarantee any specific outcome from its services. This includes, without limitation: no guaranteed credit score increase, no guaranteed funding or loan approval, and no guaranteed timeline for results. Financial and credit outcomes depend on numerous factors outside Prosper Lab's control, including your individual credit history, financial circumstances, actions of third-party creditors and consumer reporting agencies, and how actively and consistently you engage with and apply the guidance provided through your Blueprint or Lab program. Results vary by client, and Prosper Lab makes no representation or warranty, express or implied, regarding the results any individual client will achieve. The Site and any general educational content made available on it (including articles, resources, and materials not delivered as part of a paid, personalized engagement) are provided for general informational purposes only and do not constitute individualized financial or credit advice. Individualized advice is provided only through a paid consulting engagement.

7. Intellectual Property: All materials provided as part of the Prosper Blueprint, Prosper Executive Lab, and Prosper Elite Lab — including plans, frameworks, written content, and any other proprietary materials (collectively, “Materials”) — remain the sole property of The Prosper Lab LLC. Upon purchase, the client receives a personal, non-transferable, nonexclusive license to use the Materials solely for their own individual (or, where applicable, joint household) credit and funding journey. Clients may not copy, reproduce, share, distribute, resell, sublicense, or otherwise use the Materials for any purpose other than their own originating use, including on behalf of any other individual or business.

8. Prohibited Conduct: In connection with your use of the Site or our services, you agree not to:

• Share, copy, reproduce, resell, or redistribute Prosper Blueprint or Lab Materials or proprietary content

• Misuse consultation recordings or session content, including sharing or distributing them outside your own personal use

• Use Executive Lab or Elite Lab guidance, strategies, or Materials for any purpose other than the originating client's own credit or funding journey

• Initiate a payment chargeback or dispute without first contacting Prosper Lab to attempt resolution

• Provide false or fraudulent information during intake, consultation, or onboarding

• Engage in abusive, threatening, or harassing conduct toward Prosper Lab staff

9. Marketing and Testimonials: By engaging Prosper Lab's services, you agree that Prosper Lab may request and, with your consent, use your testimonials, success stories, or anonymized results in its marketing materials, including on the Site and social media. Prosper Lab will seek your permission before using any identifiable testimonial and will not disclose your sensitive financial or credit details in any public marketing without your explicit consent.

10. SMS and Email: Communications By providing your phone number and email address, you consent to receive service-related communications, appointment reminders, and — where you have opted in — marketing messages from Prosper Lab via SMS, email, and phone, including through our client management platform (GoHighLevel). Message and data rates may apply. You may opt out of marketing SMS messages at any time by replying “STOP,” and out of marketing emails by using the unsubscribe link provided in those communications. Opting out of marketing communications does not opt you out of service-related communications necessary to deliver a service you have purchased.

11. Termination: Prosper Lab may suspend or terminate your access to services at its sole discretion, including for non-payment, abusive or threatening behavior, fraud or misrepresentation on intake or onboarding forms, misuse of Materials or client information, or violation of these Terms. Prosper Lab reserves the right to terminate a client engagement at any time, for any reason, at its discretion.

12. Service Changes: Prosper Lab may modify, add to, or discontinue any aspect of its general service offerings or structure at its discretion. This does not affect the pricing or terms of a client's active, already-purchased engagement.

13. Website Disclaimers:

• The Site is provided on an “as-is” and “as-available” basis. Prosper Lab does not guarantee that the Site will be available at all times, uninterrupted, or free of errors.

• General content on the Site is provided for informational purposes only and is not a substitute for personalized consulting advice obtained through a paid engagement.

• The Site may contain links to third-party websites. Prosper Lab is not responsible for the content, accuracy, or practices of any third-party site.

• Prosper Lab is not liable for any damages arising from technical issues, viruses, or interruptions related to your use of the Site.

14. Limitation of Liability: To the fullest extent permitted by law, Prosper Lab's total liability arising out of or related to these Terms or any services provided shall not exceed the total amount paid by the client for the specific service giving rise to the claim. Prosper Lab shall not be liable for any indirect, incidental, consequential, or special damages, including lost income, lost credit opportunities, or lost funding, arising from the use of its services.

15. Indemnification: You agree to indemnify and hold harmless Prosper Lab, its owners, and staff from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your misuse of the Materials, violation of these Terms, or provision of false or fraudulent information.

16. Dispute Resolution and Arbitration: Any dispute arising out of or relating to these Terms or Prosper Lab's services will be resolved through binding arbitration, and not in court, as further detailed in the client services agreement provided at the time of engagement. You and Prosper Lab each waive the right to a jury trial and to participate in a class action.

17. Governing Law: These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, regardless of your state of residence.

18. Changes to These Terms: Prosper Lab may update these Terms from time to time. We will post the revised Terms on this page with an updated effective date. Continued use of the Site or our services after changes take effect constitutes acceptance of the revised Terms.
